Welcome to the GHAYA Express website and platform. The platform connects merchants and businesses with shipping carriers to issue and track waybills. The service is provided under the terms in this document, the Privacy Policy and the other contracts and policies agreed between the parties.

This is a translation. The Arabic text is the authoritative version (section 15).

1. Definitions

In this agreement, unless the context requires otherwise:

  • “Platform” or “we”: the GHAYA Express website, platform and apps.
  • “User” or “you”: anyone who visits, uses or registers an account on the platform.
  • “Merchant” or “subscriber”: anyone who registers an account to issue waybills, including employees they add to their account.
  • “Agreement”: this document, the Privacy Policy, all service policies and supplementary agreements.

2. Legal nature of the agreement

  • This agreement and its annexes are the complete and final agreement between the platform and anyone who visits or uses it or any of its features.
  • This agreement is a valid contract, binding on all parties.
  • Service descriptions and sub-pages of the platform, and supplementary contracts, form an integral part of this agreement; amendments have the same legal effect.

3. Consent and eligibility

  • You must be at least 18 years old and have full legal capacity under the laws of the Kingdom of Saudi Arabia to register or use the platform.
  • We may restrict access or cancel an account if eligibility is not met.
  • Using the platform or entering into any agreement with us counts as your consent and electronic signature to this agreement.

4. Account and security

  • You must provide accurate, up-to-date information and verify your account with the requested documents (such as a commercial registration, freelance document or ID).
  • Two-step verification is mandatory for every account. You are responsible for keeping your password, verification codes and backup codes confidential, and for all activity under your account.
  • If you add employees to your account, you are responsible for their permissions and their actions on the platform.
  • Tell us immediately at info@ghayaex.com if you suspect unauthorised use of your account.

5. Communications

  • You agree to receive notices about your account, shipments and payments by email, mobile or on the platform; these electronic communications satisfy any requirement for writing.
  • We only send promotional messages with your consent, and you can stop them at any time without affecting shipping services.
  • Notices to the platform must be sent through the channels provided on the platform or to info@ghayaex.com.

6. Intellectual property

  • The platform and its content (text, logos, images, software and data compilations) belong exclusively to GHAYA Express and are protected under Saudi law and international agreements.
  • Any copying, adaptation or exploitation without written consent is an infringement we may act upon.

7. Licence and acceptable use

  • We grant you a limited, non-exclusive, non-transferable licence to use the platform.
  • The licence does not cover reselling the services, copying the platform, using data-scraping tools, or using the platform’s name and trademarks without written consent.
  • Misuse of the services in any form is prohibited, including insults, defamation or offence to religions or customs.
  • The licence ends automatically if you breach these terms.

8. Shipments and their contents

  • The platform connects the merchant with shipping carriers to issue and track waybills; delivery itself is performed by the chosen carrier under its own policies.
  • The merchant is fully responsible for the contents of shipments, the accuracy of their data and their packaging, and for complying with the law and carrier policies on prohibited or restricted items.
  • The platform is not responsible, directly or indirectly, for shipment contents or the merchant’s actions.

9. Payment and prices

  • Prices for each service are shown on the platform before ordering and may vary by region, country, carrier, time, distance or quantity; we may update them at any time.
  • We may introduce new fees or commissions; they are announced in these terms or on the platform before they apply.
  • Package fees are paid in advance. Amounts paid for packages or waybills are non-refundable.
  • Volumetric weight = (length × width × height in cm) ÷ 5000, in kilograms. If the volumetric weight is higher than the actual weight, the higher weight is charged.
  • An electronic tax invoice is issued for every payment in line with ZATCA requirements.
  • The platform is not responsible for damage to or loss of a shipment.

10. Disclaimer

  • The platform is not liable for any loss of profit or any direct or indirect damage caused by any party on the platform.
  • The merchant is fully responsible for the security of their account and for not disclosing sign-in details to anyone.

11. Termination

We may end your use of the platform immediately, and the agreement is terminated automatically without notice or court action, in these cases:

  • Breach of any term of this agreement, without prejudice to our right to compensation.
  • Assigning or subletting the account without our consent.
  • Failing to meet any obligation without taking serious steps to remedy it.
  • We cannot verify information you provided.
  • We consider your activity may cause legal disputes for you or other users.
  • Under a court judgment, or if the platform ceases operating.

12. Changes

  • We may amend or update these terms or improve the platform at any time, and publish the updated version on this page with its date.
  • We notify you of material changes by email or on the platform; continuing to use the platform afterwards means you accept them.
  • You may not change any term of this agreement without our written consent.

13. Assignment

  • The platform may assign its rights under this agreement to a third party; all parties must perform their obligations towards the assignee once notified.
  • You may not assign your rights or obligations or hand over management of your account to a third party without our written consent.

14. Governing law

  • This agreement is governed by the laws of the Kingdom of Saudi Arabia.
  • The courts of the Kingdom of Saudi Arabia have jurisdiction over any dispute about its interpretation or performance.
  • If any provision becomes unenforceable, the remaining provisions are not affected.
